Mr. Raicht has significant international experience representing debtors in cross-border proceedings and court-appointed liquidators of offshore funds. Asset SALES

Mr. Raicht has represented buyers and sellers of assets in sales conducted under sections 363 of the Bankruptcy Code providing him with a deep understanding of objectives of both sides of the table and the potential pitfalls. He has also help parties understand the pros and cons of available alternative acquisition strategies.



CORPORATE GOVERNANCE

In times of distress, a board may face extremely difficult decisions that will have great impact shareholders, creditors and employees. These decisions will be subsequently scrutinized and it is critical that the Board properly exercise its fiduciary duties. Throughout his career, Mr. Raicht has advised boards of public companies, portfolio companies of private equity sponsors and closely held companies in times of severe business challenge.


Outside GENERAL COUNSEL

Advising companies in distress often includes working side-by-side with the company’s office of general counsel on a daily basis addressing a myriad of legal issues.  Solving problems and drafting contracts in the shadow of a restructuring requires an analysis from a different legal perspective. Building on this experience, Mr. Raicht serves as general outside counsel to businesses that lack familiarity with issues that can be implicated by a bankruptcy and restructuring or simply need additional resources. 



CROSS-BORDER INSOLVENCY

Mr. Raicht has had numerous engagements involving insolvencies that span across multiple countries and jurisdictions including the UK, Colombia, Canada, the Cayman Islands, the British Virgin Islands, Bermuda, Sweden, South Korea, Hong Kong and the People’s Republic of China. He has written several articles and lectured on Chapter 15 of the Bankruptcy Code, which is the statutory framework for recognition of foreign insolvency proceedings in the United States. Through his experience, he has developed a global network of local lawyers and insolvency practitioners in foreign jurisdictions to help provide local guidance and counsel.


Distressed Small businesses

While the size of the debt may be smaller when compared to public companies, the issues facing distressed small businesses are no less consequential and, perhaps, significantly more painful for all parties involved. Mr. Raicht has helped small businesses understand their strategic options and execute strategies that having included, when possible, avoiding a wind down of their business. In addition, recent changes to the Bankruptcy Code (Subchapter V) have made the protections of Chapter 11 available to small businesses less expensively and with an opportunity to keep their business. When necessary, Mr. Raicht has developed wind down strategies for small companies that avoid a formal in-court process.
